The purpose of the Director role is to:

• Provide strategic direction and oversight for Plas Heli Cyf.
• Ensure the organisation operates legally, safely, and responsibly.
• Support the delivery of sailing, watersports, events, and community activities.
• Safeguard the long‑term sustainability of the Welsh National Sailing Academy & Events Centre.

Directors collectively and individually undertake the following responsibilities:

• Set and review strategic plans, policies, and budgets.
• Ensure compliance with statutory, regulatory, and governance requirements.
• Promote best practice in equality, diversity, access, and inclusion.
• Support volunteers and operational leads.
• Represent Plas Heli Cyf to partners, agencies, and stakeholders.
• Contribute to organisational development and continuous improvement.
• Ensure activities are delivered safely and professionally.

Directors are expected to:

• Attend Board meetings and actively participate in discussions.
• Prepare for meetings by reviewing papers and reports.
• Act in the best interests of Plas Heli Cyf at all times.
• Maintain confidentiality of Board discussions.
• Declare conflicts of interest promptly.
• Support recruitment and induction of new Directors.
• Engage positively with volunteers, staff, and stakeholders.

Directors should collectively bring a broad range of skills to the Board. Individual Directors are expected to demonstrate:

• Integrity, honesty, and sound judgement.
• Commitment to the organisation’s objectives.
• Ability to think strategically and contribute constructively.
• Understanding of governance principles.
• Willingness to learn and engage in training where required.
• Respect for diverse views and collaborative decision‑making.

Plas Heli Cyf is a volunteer‑run organisation. Directors are expected to:

• Attend scheduled Board meetings (typically 6–8 per year).
• Participate in occasional working groups or sub‑committees.
• Support events or operational activities where appropriate.
• Commit additional time during major events or development projects.

Executive Directors may contribute more time to operational matters depending on their role.

Director terms are defined in the Articles of Association. Directors may:

• Serve multiple terms subject to re‑appointment.
• Retire voluntarily with notice to the Board.
• Be removed in accordance with the Articles if necessary.

Directors must adhere to:

• The Articles of Association.
• Board policies including conflicts of interest, safeguarding, and conduct.
• Legal obligations under company law.
• Best practice in governance and decision‑making.

New Directors receive:

• An induction meeting with the Chairman.
• Access to governance documents and policies.
• Introduction to volunteers, partners, and operational leads.
• Optional mentoring from an existing Director.
